Valuations and M&A advisory before you accept the deal price
Valuations and M&A advisory for professional services directors who need to buy, sell or raise with assumptions they can explain and defend.
A year-end accountant can confirm what happened. A deal needs someone to test recurring income, owner dependence, forecasts and tax before you accept a price. Fiscal Umbrella supports that decision.
Fiscal Umbrella provides valuations and M&A advisory to growing limited companies in Luton and remotely across the UK. Fixed fees are agreed in writing. Fasih Khan ACCA brings owner-side fundraising experience from his own software company.

What you can decide before terms are signed
Set a price you can explain
See which assumptions support the valuation before the other side questions them.
Find what could weaken the deal
Test recurring income, forecasts and owner dependence while there is time to respond.
Keep deal answers consistent
Give buyers or investors answers that match the accounts and valuation case.
The deal decisions that expose a filing-only service
A valuation problem usually appears when the other side asks a question the accounts do not answer.
- Sell
“I accepted the first offer because nobody could show me what our recurring client income was worth.”
Price was discussed before the main drivers had been tested.
- Buy
“I agreed to buy before anyone tested how much profit depended on the departing owner.”
The risk only became visible after the terms had taken shape.
- Raise
“I went into the raise with forecasts my accountant had never challenged or explained.”
Investor questions then exposed assumptions nobody could support.
- Day 90
What changes once deal advice is in the room
The valuation starts with the decision it must support. Assumptions are tested against current performance, recurring work and owner dependence. Fiscal Umbrella then supports the questions that follow.

If your accountant cannot explain your valuation, test the other side’s assumptions and answer deal questions this week, you have the wrong accountant
Answer these three questions about the accountant advising you now.
Question 1 of 3
Could they tell you this week which profit and cash assumptions drive your valuation?
Could they test whether a buyer’s offer reflects recurring income, owner dependence and risk?
Could they explain the tax and company structure issues before you agree terms?
The gaps matter because price and terms can harden before anyone challenges them. The set-up review is the next step.
Some of the work is covered, but one weak assumption can still move the deal. Fasih’s own SEIS-backed raise shows why preparation before investor questions matters.
Your current accountant is covering the decisions that matter. Use the guides to prepare the questions each side should answer before terms are signed.
Where year-end accounts need deal-specific advice
Both services matter, but they answer different questions.
Year-end accounting
Uses signed accounts to explain past performance.
Confirms filed tax and accounting positions.
Provides schedules when buyers or investors request them.
Focuses on information already recorded.
Valuation and deal support
Tests what drives future profit and cash.
Challenges forecasts and owner dependence before price talks.
Explains assumptions so you can defend them.
Keeps later deal answers tied to the same case.
What needs testing before the valuation holds up
A missing answer here can change the price or the terms.
- 01
Is the valuation purpose agreed?
A sale, purchase and raise can require different answers.
- 02
Are the latest accounts complete?
Old accounts can hide recent changes.
- 03
Is recurring client income supported?
Contracts and retention should support the assumption.
- 04
Is owner dependence understood?
A departing director can change expected profit.
- 05
Can the forecasts be explained?
Each material assumption needs a reason.
- 06
Are unusual costs identified?
One-off items can distort maintainable profit.
- 07
Has the tax position been checked?
Tax can affect both structure and proceeds.
- 08
Can one person answer deal questions?
Consistent answers protect the valuation case.
Deal support around the valuation, where it matters
The work is scoped around the decision and the questions likely to follow.
Company valuation support
Test the assumptions behind the price and explain where judgement changes the answer.
Purchase and sale support
Review the accounting and tax questions before terms become difficult to change.
Fundraising financial support
Prepare forecasts and accounting answers without arranging investment or giving regulated financial advice.

What clients say
How the deal question becomes an answer you can defend
Each stage ties the valuation back to the decision in front of you.
Agree what the valuation must answer
The sale, purchase or raise and the required support are defined.
Build the case from current information
Accounts, contracts, forecasts and owner involvement are reviewed.
Test the assumptions before others do
Recurring income, profit and risks are challenged and explained.
Keep later questions tied together
Deal answers remain consistent with the agreed valuation case.
Who this valuation service is built for
Established limited companies preparing to buy, sell or raise are the intended fit.
Directors must provide the accounts, contracts and forecasts needed for the work.
Businesses seeking investor introductions fall outside Fiscal Umbrella’s role.
Sole traders, partnerships and businesses choosing only on price are not a fit.

Questions directors ask before a valuation or deal
What does the monthly fee include for valuations and M&A advisory?
The monthly fee covers the services listed in your written proposal. Valuation and deal support depend on whether you are buying, selling or raising, and on the information involved. Fasih reviews that scope first, then confirms one fixed fee in writing before any work begins.
Can Fiscal Umbrella help if we already have an accountant?
Yes. The first conversation can focus on the deal and the information available. If your current accountant remains involved, responsibilities and access need to be agreed so answers stay consistent. If a switch makes sense, Fiscal Umbrella can contact them and request the handover once you approve it.
Do we have to move software before a company valuation?
No automatic move is required. Fasih needs reliable accounts, current performance information and support for the assumptions behind the valuation. If your present software cannot produce that cleanly, he will explain what needs changing. Any move is agreed before work starts, including who supplies the information.
What happens with our current accountant if we switch?
Fiscal Umbrella contacts your current accountant, requests the accounting information and manages professional clearance. Your existing filing dates remain part of the handover plan. The scope and fixed fee are agreed in writing first, so you know who handles the valuation, ongoing accounts and deal questions.
How is a professional services company valued?
The purpose matters. A buyer may focus on recurring client income, maintainable profit, cash generation, owner dependence and risks inside contracts or forecasts. Fasih reviews the available evidence, tests the assumptions and explains where judgement affects the answer. The work is scoped around the decision it must support.
Can you support a funding raise without giving regulated financial advice?
Fiscal Umbrella can prepare financial information, test forecasts, support valuation work and answer accounting or tax questions during a raise. Fasih has obtained SEIS advance assurance for his own software company. The firm does not introduce investors, arrange funding or give regulated financial advice.
